Terms of Service

§ 01

Acceptance of terms

By accessing or using the website at fmrdigital.dev (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site. These Terms constitute a legally binding agreement between you and FMR Digital, LLC ("FMR Digital," "we," "us," or "our").

§ 02

Description of services

FMR Digital is an independent software studio. The Site serves as a marketing and informational resource and provides a contact form for project inquiries. Actual development services are governed by separate project agreements between FMR Digital and its clients.

§ 03

Use of the Site

You agree to use the Site only for lawful purposes. You shall not:

  • Use the Site in any way that violates applicable federal, state, or local law.
  • Submit false, misleading, or spam content through the contact form.
  • Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.
  • Interfere with or disrupt the Site's operation or the servers and networks that host it.
  • Use automated tools (bots, scrapers, crawlers) to access the Site in a manner that places unreasonable load on our infrastructure.

Intellectual property

All content on the Site, including text, graphics, logos, design, and code, is the property of FMR Digital, LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on this Site without our prior written consent.

The FMR Digital name, logo, and all related marks are trademarks of FMR Digital, LLC. Use of these marks without written permission is prohibited.

Contact form submissions

When you submit information through our contact form, you represent that the information you provide is accurate and that you are authorized to share it. § 06

Project agreements

These Terms govern your use of the Site only. Any development services, deliverables, timelines, payment terms, and intellectual property assignments for client projects will be defined in a separate written agreement (such as a Statement of Work or Master Service Agreement) between you and FMR Digital. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail with respect to the services covered therein.

Disclaimer of warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FMR DIGITAL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FMR DIGITAL, LLC AND ITS OWNER, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Site.
  • Any conduct or content of any third party on the Site.
  • Any unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL FMR DIGITAL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

§ 09

Indemnification

You agree to indemnify, defend, and hold harmless FMR Digital, LLC and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

§ 10

Third-party links

The Site may contain links to third-party websites or services. FMR Digital has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that FMR Digital shall not be liable for any damage or loss caused by your use of any such third-party content or services.

§ 11

Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any legal action arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Georgia, and you consent to the jurisdiction of such courts.

§ 12

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

§ 13

Changes to these terms

We reserve the right to modify these Terms at any time. If we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

§ 14

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FMR Digital regarding your use of the Site, and supersede any prior agreements or understandings relating to the same subject matter.
